TALENT War$ @wvpt (the “Contest”) starts on September 1, 2011 and ends on January 3, 2011 at 9am EST (“Contest Period”).
The Contest is open to legal residents of the 50 United States and the District of Columbia. Employees and Board Members of Shenandoah Valley Educational Television Corporation (WVPT) and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) are not eligible to enter or win. Also not eligible to enter or win are any parties who: (1) are represented under contract (e.g. by a talent agent, manager, or other party) that would limit WVPT’s rights in the Entry and ability to use and show the Entry in any media form as authorized below; 2) have an acting or modeling or other contract that would make their appearance in the Entry a violation of third party rights; or (3) are under any other contractual relationship or are a member of any guild or union that may prohibit them from participating fully in the Contest or present WVPT from using, residual-free, the Entry worldwide in all media in perpetuity. Void where prohibited by law. Contest is subject to all applicable federal, state, provincial/territorial, and local laws.
BY SUBMITTING AN ENTRY, THE ENTRANT AGREES THAT THE ENTRY COMPLIES WITH ALL CONDITIONS STATED IN THESE OFFICIAL RULES. WVPT WILL BEAR NO LEGAL LIABILITY, EXPRESSED OR IMPLIED, REGARDING THE USE OF THE ENTRY BY WVPT AND WVPT SHALL BE HELD HARMLESS BY AN ENTRANT IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT THE ENTRANT HAS DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THE OFFICIAL RULES.
By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of WVPT, which shall be final and binding in all respects relating to this Contest without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries; (b) to release, discharge and hold harmless WVPT, and the respective officers, directors, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from the Entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize and (c) to the use of his/her name, voice, performance, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by WVPT and its designees, without compensation, compensation is ONLY provided to the Contest Winners as noted in these rules, (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.
MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, illegible, stolen, delayed, misdirected, undelivered, or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of Entries, the tabulation of votes, the announcement of the prizes, the incorrect uploading of the Video or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by WVPT, will be disqualified and all associated Entries will be void. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, WVPT RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
(a) To enter the Contest, the Entrant must submit a video, not to exceed (5) five-minutes in length. The video should display and highlight the contestant’s talent for which they wish to be judged and receive votes. Submissions can be in any style or genre of film or video, including, but not limited to, music, dance, comedy, or other categories as listed on the website.
The Contest begins on September 1, 2011, and the entry deadline is 9:00 am EST on January 3, 2012. No editing tools supplies or other assistance will be provided to contestants. Contestants must log onto talentwars.wvpt.net and follow the directions to enter.
The Entrant may enter as many videos as you like. Each entrant must complete the required entry information on the submission form.
By entering, the Entrant agrees to be bound by these Official Rules, and to comply with all federal, state, and local laws and regulations. WVPT and those working for WVPT or on behalf of WVPT, will not be responsible for lost, late, misdirected, damaged, or postage due mail or e-mail, or for Internet, computer hardware and software, phone, and/or any other technical errors, malfunctions, or delays. Entries which are forged, irregular in any way, or otherwise not in compliance with these Official Rules will be disqualified. In the event of a dispute concerning who submitted an entry, the entry will be deemed to have been submitted by the authorized holder of the e-mail account from which the entry is made. The "authorized account holder" is the natural person to whom an email address is assigned by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address.
REQUIREMENTS OF ENTRIES:
- Video entries shall not contain, as determined by WVPT, in its sole discretion, any content that:
is unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic;
- promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous;
- is obscene or offensive; endorses any form of hate or hate group; appears to duplicate any other submitted Entries;
- defames, misrepresents or contains disparaging remarks about other people, companies, or organizations;
- contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission (for example, any clothing worn by persons appearing in your Video must not contain any visible logos, trademarks, or other third party materials, unless the necessary permissions/licenses have been obtained or such materials blurred out); contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
- contains copyrighted or copyright protected materials where the copyright is owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies, music, or other media), without express written permission;
- contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission. For greater certainty, this means your Video must not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction or residence; (Note: If you cannot obtain the consent of an individual appearing in your Video, then his/her face must be blurred out);
- contains look-alikes of celebrities or other public or private figures, living or dead;
- communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate;
- contains any singing, playing of any musical instrument, or performance that has been broadcast, published or televised as part of a recording or motion picture film, music performance, or television program;
contains any other content that is or could be considered inappropriate, unsuitable, or offensive, all as determined by the Sponsor in its sole discretion; and/or
violates any law.
(b) EACH SUBMISSION MUST BE ORIGINAL AND NOT BE THE WORK OF OR BY ANOTHER PARTY (WITH THE EXCEPTION OF A PARENT OR GUARDIAN ENTERING A SUBMISSION FOR THEIR CHILD) AND CREATED ENTIRELY BY ENTRANT. Submissions may include materials which are in the public domain or for which you have obtained the prior written permission or clearance of the owner. Submissions must not incorporate or include anything that violates any law or the copyright, trademark, publicity right, privacy right or any other right of any third party. As a Prize Winner (defined below in Section 3), WVPT may require sufficient written documentation to establish that the Entrant has properly obtained lawful permission to incorporate names, voices, signatures, photographs, likenesses, identities, persons or materials (including music) used in your submission or that the same are in the public domain. WVPT may, at its sole and exclusive discretion, disqualify any submission it believes incorporates names, voices, signatures, photographs, likenesses, identities, persons or materials without permission or are not otherwise in the public domain.
(c) ANY ENTRY THAT DOES NOT SATISFY ALL REQUIREMENTS OF THESE OFFICIAL RULES WILL BE DISQUALIIFIED.
3. Selection of Winner and Prizes.
(a) All entries submitted as described in Section 2 - Each entry will be prescreened to ensure that it qualifies and otherwise complies with the Official Rules.
THE PUBLIC WILL BE ALLOWED TO VIEW EACH SUBMISSION AND VOTE FOR ANY ENTRY THEY CHOOSE. VOTING WILL BE IN THE FORM OF FINANCIAL DONATIONS TO WVPT – EACH DOLLAR CONTRIBUTED IN SUPPORT OF AN ENTRY IS EQUAL TO ONE VOTE (AS AN EXAMPLE A $10 CONTRIBUTION FOR AN ENTRY WILL EQUAL 10 VOTES FOR THAT ENTRY). ALL VOTES/CONTRIBUTIONS SUBMITTED FOR ALL ENTRIES WILL BE CONSIDERED NON-REFUNDABLE DONATIONS TO WVPT.
IF DUE TO COPYRIGHT OR OWNERSHIP INFRINGEMENT, OR ANY REASON ANY ENTRY IS DISQUALIFIED AND REMOVED FROM THE CONTEST – OR IF THE CONTEST WINNER(S) DOES NOT COMPLY WITH THE REQUIREMENTS NOTED IN THE RULES – OR FORFEITS THE PRIZE RECEIVED, ALL DONATIONS/VOTES RECEIVED FOR THAT ENTRY WILL REMAIN WITH WVPT.
THE ENTRANT’S VIDEO WITH THE MOST NUMBER OF VOTES/DONATIONS AT THE END OF THE CONTEST WILL BE SELECTED TO RECEIVE PRIZES FOR FIRST, SECOND AND THIRD PLACE (see below).
The winner and runners-up (“Prize Winners”) will be notified by telephone or email of their selection. Each Prize Winner will be required to sign and return within five (5) business days of notification of selection as a Prize Winner (i) an “Affidavit of Eligibility”, (ii) “Publicity/Liability Release”, (iii) a copy of his/her passport, drivers license or birth certificate as proof of age and residency, and (iv) any other documents (such as rights clearances) required by WVPT. If a Prize Winner cannot be contacted within five (5) business days of the first notification attempt, or a prize winning notification is returned as undeliverable, or a prize winner rejects a prize awarded, or WVPT determines, in its sole discretion, that a Prize Winner has not complied with the Official Rules, then the entrant’s status as a Prize Winner and the prize awarded will be forfeited, and an alternative Prize Winner will be selected from the group of Finalists. If a prize awarded is forfeited, no other compensation will be given to that Prize Winner. The Affidavit of Eligibility must be completed and must include the entity or company’s EIN number or the person’s social security or resident alien identification number – or that of the Prize Winner’s parent or legal guardian – should the Prize Winner not be of legal age. The information in any Affidavit of Eligibility must be correct and must be identical to the information provided in the original entry or the person, group of persons or company will be disqualified.
(b) ONLY ONE PRIZE PER ENTRANT. If an entrant makes more than one film or video, that entrant is eligible to win only one of the following prizes:
The winner will receive the First Place Prize of $3,000
The Second Place contestant will receive $2,000
The Third Place contestant will receive $1,000
Should there be a tie in the number of votes for any of the top three contestants, the prize monies will be combined and distributed equally among those contestants.
At the sole discretion of WVPT the winner’s video (or any other video submitted in the Contest) may be used as part of any informational, public relations or media campaign by WVPT, whether broadcast on television, online or otherwise. No compensation will be provided to winner or any other entrant in the event an entry is selected for broadcast. NOTE: BY WINNING OR ENTERING THIS CONTEST THERE IS NO GUARANTEE THAT YOUR VIDEO WILL BE USED BY WVPT OR OTHERWISE.
Other conditions and restrictions apply. Prizes are non-transferable. No substitutions or redemptions allowed. Combined, total value of prizes: Six Thousand Dollars ($6,000.00).
(c) By accepting the prizes, each Prize Winner releases and discharges WVPT, its affiliated companies and their respective parents, subsidiaries, affiliates, advertising and promotion agencies, and all their respective employees, officers, directors, representatives and agents from any liability or damage due, in whole or in part, to the award, acceptance, possession, use or misuse of any prize or from participation in this Contest.
(d) If, for reasons beyond WVPT’s control (including, but not limited to, tampering or computer virus infection), the Contest cannot be conducted as originally planned, WVPT, at its sole discretion, reserves the right to cancel or modify the Contest, without liability.
(e) Any person attempting to defraud or in any way tamper with this Contest (whether electronically or otherwise) and any person who does not comply with these Official Rules, will be ineligible for any prize and may be prosecuted to the full extent of the law.
4. Issues of Law.
(a) Taxes. ALL FEDERAL, STATE, AND LOCAL TAXES RELATING TO PARTICIPATION IN THIS CONTEST OR THE AWARDING OF THE PRIZES ARE THE RESPONSIBILITY OF THE FINALISTS.
(b) Governing Law. All federal, state and local laws and regulations are applicable. The Contest is and shall be governed, construed, and interpreted under the laws of the state of Virginia, United States. Entrants who violate these Official Rules, tamper with the operation of the Contest, or engage in any conduct that is detrimental to WVPT, the Contest, or any other entrant (as determined in WVPT's sole discretion) are subject to disqualification. By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant's rights and obligations, or the rights and obligations of WVPT in connection with the Contest shall be governed by, and construed in accordance with, the laws of State of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Virginia, irrespective of the fact that any one of the parties is now or may become a resident of a different state.. Any claim or cause of action arising out of or related to this Contest or these Official Rules must be filed within (60) days after such claim or cause of action arose regardless of any law to the contrary. In the event any such claim or cause of action is not filed within such (60) day period, such claim or cause of action shall be forever barred.
(c) Severability. If any provision of these Official Rules shall be held invalid, illegal or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the parties' fundamental intentions hereunder, and the remaining provisions shall not be affected or impaired, provided, however, that in such cases the parties oblige themselves to use their best efforts to achieve the purpose of the invalid provision by a new legally valid stipulation.
5. Use Of Submission and Personal Information.
(a) By submitting an entry:
(i) The Entrant represents and warrants that, if you are the designated person for a group of persons or company that has entered this Contest, you are authorized to make representations and warranties on behalf of the group or the company, and the company or you and the group of persons, as the case may be, will be jointly and severally liable for any breach of these representations and warranties or other failure to comply with the Official Rules of this Contest.
(ii) The Entrant represents and warrants that your entry and all elements contained therein (“Content”) is original and, to the extent the Content incorporates or includes anything that is owned or controlled by any third party, you have obtained in writing all rights necessary to comply with the Official Rules of this Contest; and, that Content does not violate any copyright, trademark, publicity right, or any other right of any third party.
(iii) The Entrant hereby unconditionally and irrevocably provides WVPT the rights to use the entry in any and all media whether now known or hereafter devised, in perpetuity, wherever produced or located, including the right to use, copy, distribute, perform, display and to create derivative works of the Content for advertising, trade, other commercial purposes or any other purpose; provided, however, to the extent Content contains third party materials, you have obtained written permission granting WVPT a perpetual, royalty-free, fully paid, freely transferable universal, unconditional and irrevocable right and license to copy, distribute, perform, display and to create derivative works from such third party materials for any and all purposes relating to the promotion, marketing, advertising, or distribution by WVPT. .
(iv) The Entrant represents and warrants that you meet the requirements and qualifications for this Contest, and that you have read these Official Rules and are fully familiar with them.
(b) The Entrant agrees (and if you are the designated contact person for a group of persons or a company, agree as an authorized agent on behalf of that group of persons or company) to indemnify, and hold WVPT, its officers, directors, employees, contractors, agents and representatives harmless from and against any third party claim (including reasonably attorneys’ fees and costs) arising from any use of the Content.
(c) By submitting an entry, The Entrant grants to WVPT the right, except where prohibited by law, to use your name, likeness, picture, address (city and state),voice, biographical information (if provided), for advertising and promotional purposes in promoting or publicizing the Contest, WVPT and its mission and services, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, rights of integrity or attribution, or right of publicity) arising out of any use of the entry or the information detailed in this paragraph.
(d) Important Disclaimers and Limitations.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WVPT, ITS AGENTS, REPRESENTATIVES AND CONTRACTORS HEREBY DISCLAIM ANY WARRANTIES, OBLIGATIONS, LIABILITIES, RIGHTS AND REMEDIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, ARISING BY LAW OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, INFRINGEMENT OR ANY IMPLIED INDEMNITIES. YOU UNDERSTAND AND ACKNOWLEDGE THAT WVPT HAS NOT MADE, AND YOU ARE NOT RELYING ON, ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS TO YOU REGARDING THE VALUE OF THIS CONTEST OR THE ODDS, IF ANY OF YOU BECOMING A WINNER, OR ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE INFORMATION, PRODUCTS, SERVICES AND RELATED GRAPHICS USED IN CONNECTION WITH THE CONTEST, THESE OFFICIAL RULES OR THE CONTEST WEBSITE. ALL DATA, INFORMATION, PRODUCTS, SERVICES AND GRAPHICS RELATED TO THE CONTEST, THESE OFFICIAL RULES AND THE CONTEST WEBSITE ARE PROVIDED "AS-IS, WHERE-IS" WITHOUT TECHNICAL SUPPORT OF ANY KIND.
IN NO EVENT SHALL WVPT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS OR REPRESENTATIVES BE LIABLE TO THE ENTRANT OR ANY THIRD PARTY FOR INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS OR LOST PRIZES) RELATED TO THE CONTEST, THESE OFFICIAL RULES, THE PERFORMANCE OR BREACH OF THESE OFFICIAL RULES BY WVPT THE USE OR EXPLOITATION OF ANY CONTENT, OR OTHERWISE, EVEN IF WVPT IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES OR IF THE EXCLUSIVE REMEDIES STATED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE.
6. Release of WVPT From Any and All Liability.
The Entrant agrees that WVPT, its directors, officers, employees, agents, contractors and representatives shall not be liable for, and the Entrant hereby discharge and release them from all losses or injuries of any kind resulting from: (i) acceptance/possession and/or use/misuse of prize(s), (ii) participation in the Contest, (iii) individual, joint or collective technical malfunctions of the telephone network and/or transmission line, computer on-line system, computer dating mechanism, computer equipment, hardware and/or software, (iv) any delay or distortion of an entry resulting from data transmissions that are garbled, incomplete, misdirected, lost, mutilated, delayed, corrupted, mechanically duplicated, illegible or otherwise not in compliance with these Official Rules, or (v) any use or exploitation of any Content. The Entrant also agrees that WVPT, its directors, officers, employees, agents, contractors and representatives are not responsible or liable for any injury or damage to an entrant or third person's computer related to or resulting from the Contest and/or its prizes. WVPT, its directors, officers, employees, agents, contractors and representatives are not liable for damage to a user's computer system (including, without limitation, any server failure or lost, delayed or corrupted data or other malfunction) due, either directly or indirectly, to an entrant's participation in the Contest or downloading of information in connection with the Contest. WVPT reserves the right to modify or cancel the Contest in the event that any portion of any website used to administer any aspect of the Contest becomes technically corrupted.
